Terms & Conditions for Auto Top-Up (Escrow) Program

1. General

1.1 The following terms and conditions govern your use of the Auto Top-Up (Escrow) Feature (“Feature”) provided by Shopee on Shopee’s website and mobile applications (“Platform”) during the period as indicated on the Platform. 

1.2 By activating this Feature, the seller accepts and agrees to these terms and conditions (“Feature General Terms”) , as well as the Platform's Terms of Service and all other policies relevant to your use of the Feature.

2. Eligibility and Use of the Feature

2.1 The Feature will be made available to all sellers unless stated otherwise by Shopee.

These sellers will be notified of their enrollment via the Seller Centre and/or other communication channels. 

2.2 Other categories of sellers may use the Feature through the Shopee Ads module in the Seller Centre. 

2.3 Sellers must have a valid Shopee Ads account and be in compliance with all seller policies to be eligible for the Feature.

3. Feature Mechanics

3.1 Automatic Conversion: The Feature automatically deducts a fixed or selected percentage of each completed order's sales revenue to be automatically converted into ad credits. 

3.2 Timing of Deduction: Fee deductions occur once the status of a customer’s order is “Order Completed”. 

3.3 Ads Credit Injection: The deducted amount is added into the Seller’s Ads Balance as ad credits to be used for Shopee Ads.

4. Ads Management and Automated Solutions

4.1 Nature of Ads Credits: The ad credits that are added into the Seller’s Ads Balance do not have an expiration date, and can be used for any and all ads types that are available on the Platform.  

4.2 Automated Ads Solution: By activating the Feature, you acknowledge that a percentage of the ad credits in the Seller’s Ads Balance will be used to fund an “Automated Ads Solution” or “Shop GMV Max” campaign, which manages campaign optimization 

4.3 ROAS Protection: Campaigns funded via this Feature may be eligible for Shopee’s ROAS Protection feature if the relevant requirements are met.

5. Non-Refundability

5.1 Finality of Deduction: Once a fee deduction has occurred and ad credits have been added into the Seller’s Ads Balance, the deduction is final and non-refundable. 

5.2 Returned or Cancelled Orders: If an order is refunded, cancelled, or returned by a buyer after the fee has been deducted and added into the Seller’s Ads Balance, the ads credits will remain in the Seller’s Ads Balance and will not be returned to the Seller's Income Balance.

6. Withdrawal and Termination

6.1 Shopee shall have sole and absolute discretion in determining whether a seller is qualified to use this Feature.

7. Miscellaneous

7.1 Shopee reserves the right to vary, modify, or amend these Feature Terms without notice, or withdraw or discontinue the Feature at any time. 

7.2 You agree that you are responsible for accessing, reviewing, and keeping yourself updated on all amendments. Your continued use of the Feature after any amendments shall be deemed as your confirmation and acceptance of such amendments and all the amendments shall be valid and applicable to you.

7.3 Shopee’s records of all matters relating to the Feature shall be final and binding on you. 

7.4 In the event of any inconsistency between these Feature Terms and any marketing materials, these Feature Terms shall prevail.

7.5 Shopee shall not be liable to fulfil any obligations under these Feature Terms due to circumstances or events occurring beyond Shopee’s control, including but not limited to acts of God, natural disasters, pandemic or epidemic, governmental actions or restrictions, internet or telecommunications failures, cyberattacks, server outages, third-party platform disruptions, labour disputes or acts of war or terrorism. 

7.6 You shall be responsible for all applicable taxes, duties, government fees and other charges arising due to your use of the Feature.

7.7 To the maximum extent permitted by applicable laws, Shopee will not be liable for any claims, costs, injuries, losses or damages of any kind whatsoever arising out of or in connection with this Feature, including but not limited to any losses; direct, indirect, incidental punitive and consequential damages; fines; regulatory actions; claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, right of publicity or privacy, defamation, or portrayal in false light.

7.8 The Feature and the Platform is provided on an “as is” and “as available” basis and subject to the availability and functionality of Shopee’s services. Shopee does not make any representation, warranty and/or undertaking on the performance and capability of the Platforms; any software or hardware used to access and use the Feature, including an individual’s access and use of the Platforms; and the reliability or quality of the underlying telecommunications network accessed and used by an individual to use the Feature. 

ข้อกำหนดและเงื่อนไขทั่วไปของฟีเจอร์เติมเครดิตอัตโนมัติ (Escrow)

1. ข้อกำหนดทั่วไป

1.1 ข้อกำหนดและเงื่อนไขดังต่อไปนี้ ใช้บังคับกับการเปิดใช้ฟีเจอร์เติมเครดิตอัตโนมัติ (Escrow) (“ฟีเจอร์”) ที่ให้บริการโดย Shopee บนเว็บไซต์และแอปพลิเคชันมือถือของ Shopee (“แพลตฟอร์ม”) ภายในระยะเวลาที่ระบุบนแพลตฟอร์ม

1.2 เมื่อเปิดใช้งานฟีเจอร์ ผู้ขายถือว่ายอมรับและตกลงปฏิบัติตามข้อกำหนดและเงื่อนไขนี้ (“ข้อกำหนดทั่วไปของฟีเจอร์”) รวมถึงข้อกำหนดการใช้บริการของแพลตฟอร์ม และนโยบายอื่นๆ ทั้งหมดที่เกี่ยวข้องกับการเปิดใช้งานฟีเจอร์

2. คุณสมบัติและการเข้าร่วม

2.1 ฟีเจอร์นี้จะเปิดให้ผู้ขายทั้งหมดสามารถใช้งานได้ เว้นแต่จะกำหนดเป็นอย่างอื่น โดยหากผู้ขายเข้าร่วม ผู้ขายจะได้รับการแจ้งเตือนเกี่ยวกับการเข้าร่วมผ่าน Seller Centre และ/หรือช่องทางการสื่อสารอื่นๆ

2.2 ผู้ขายประเภทอื่นๆ สามารถเปิดใช้งานฟีเจอร์ได้ผ่านโมดูล Shopee Ads ใน Seller Centre 

2.3 ผู้ขายต้องมีบัญชี Shopee Ads ที่มีผลใช้งานและปฏิบัติตามนโยบายผู้ขายทั้งหมดเพื่อให้มีสิทธิใช้ฟีเจอร์

3. กลไกของฟีเจอร์

3.1 การแปลงอัตโนมัติ: ฟีเจอร์นี้จะทำการหักรายได้จากยอดขายของคำสั่งซื้อที่เสร็จสมบูรณ์ตามจำนวนแบบคงที่หรือเป็นเปอร์เซ็นต์ที่กำหนด เพื่อแปลงเป็นเครดิตโฆษณาโดยอัตโนมัติ

3.2 ช่วงเวลาที่มีการหักเงิน: จะมีการหักค่าธรรมเนียมเมื่อคำสั่งซื้อของลูกค้าอยู่ในสถานะ “คำสั่งซื้อเสร็จสมบูรณ์” 

3.3 การเติมเครดิตโฆษณา: จำนวนที่ถูกหักจะถูกเติมเข้าในยอดเงินโฆษณาของผู้ขายเพื่อใช้กับ Shopee Ads

4. การจัดการโฆษณาและการตั้งค่าโฆษณาอัตโนมัติ

4.1 เครดิตโฆษณา: เครดิตโฆษณาที่เติมเข้าในยอดเงินโฆษณาของผู้ขายจะไม่มีวันหมดอายุ และสามารถใช้ได้กับโฆษณาทุกประเภทที่มีบนแพลตฟอร์ม

4.2 การตั้งค่าโฆษณาอัตโนมัติ: เมื่อเปิดใช้งานฟีเจอร์ ผู้ขายรับทราบว่าจะมีการเติมเครดิตเพื่อโฆษณาในอัตราที่ผู้ขายกำหนดจาก Seller Balance ของผู้ขายไปยัง “Automated Ads Solution” หรือ “Shop GMV Max” campaign ซึ่งทำหน้าที่บริหารและปรับปรุงประสิทธิภาพของแคมเปญ

4.3 ROAS Protection: แคมเปญที่ได้มาจากการเติมเงินเครดิตโฆษณาจากฟีเจอร์นี้อาจมีสิทธิ์ได้รับการคุ้มครองจาก Shopee’s ROAS Protection feature หากเป็นไปตามคุณสมบัติ

5. การไม่สามารถขอคืนเงิน

5.1 ไม่สามารถขอคืนได้: เมื่อมีการหักค่าธรรมเนียมและเติมเครดิตโฆษณาเข้าในยอดเงินโฆษณาของผู้ขายแล้ว การหักเงินถือเป็นที่สิ้นสุดและไม่สามารถขอคืนได้

5.2 คำสั่งซื้อที่คืน/ยกเลิก: หากคำสั่งซื้อถูกคืน ยกเลิก หรือผู้ซื้อขอคืนเงินหลังจากมีการหักค่าธรรมเนียมแล้ว เครดิตโฆษณาที่เติมเข้าไปจะยังคงอยู่ในยอดเงินโฆษณาและจะไม่ถูกโอนกลับไปยังยอดรายได้ของผู้ขาย

6. การเพิกถอนและการสิ้นสุดการใช้งานฟีเจอร์

6.1 Shopee มีสิทธิแต่เพียงผู้เดียวในการพิจารณาคุณสมบัติของผู้ขายสำหรับการเปิดใช้งานฟีเจอร์

7. ข้อกำหนดอื่นๆ

7.1 Shopee ขอสงวนสิทธิ์ในการเปลี่ยนแปลง แก้ไข หรือปรับปรุงข้อกำหนดทั่วไปของฟีเจอร์นี้โดยไม่ต้องแจ้งให้ทราบล่วงหน้า หรือเพิกถอนหรือยุติฟีเจอร์เมื่อใดก็ได้

7.2 ผู้ขายตกลงว่าผู้ขายมีหน้าที่ตรวจสอบและติดตามการเปลี่ยนแปลงต่างๆ ด้วยตนเอง การเปิดใช้งานฟีเจอร์อย่างต่อเนื่องหลังมีการแก้ไข ถือว่าเป็นการยืนยันและยอมรับข้อแก้ไขนั้น

7.3 บันทึกข้อมูลทั้งหมดของ Shopee ที่เกี่ยวข้องกับฟีเจอร์ ให้ถือเป็นที่สุดและมีผลผูกพันต่อผู้ขาย

7.4 ในกรณีที่มีความขัดแย้งระหว่างข้อกำหนดทั่วไปของฟีเจอร์ฉบับนี้และสื่อการตลาดใดๆ ให้ยึดตามข้อกำหนดทั่วไปของฟีเจอร์ฉบับนี้เป็นสำคัญ

7.5 Shopee ไม่มีหน้าที่ต้องรับผิดต่อเหตุการณ์ที่อยู่นอกเหนือการควบคุมของ Shopee เช่น ภัยธรรมชาติ โรคระบาด การจัดการของภาครัฐ ปัญหาที่เกิดจากระบบอินเทอร์เน็ตหรือการสื่อสารทางเทคโนโลยี การโจมตีทางไซเบอร์ เซิร์ฟเวอร์ขัดข้อง ปัญหาจากแพลตฟอร์มภายนอก ข้อพิพาทแรงงาน หรือเหตุการณ์สงคราม/ก่อการร้าย

7.6 ผู้ขายต้องรับผิดชอบต่อภาษี ค่าธรรมเนียมของรัฐ หรือค่าใช้จ่ายอื่นๆ ที่เกี่ยวข้องจากการเปิดใช้งานฟีเจอร์

7.7 ภายใต้ขอบเขตสูงสุดที่กฎหมายอนุญาต Shopee จะไม่รับผิดต่อความเสียหาย การสูญเสีย หรือการเรียกร้องใดๆ ที่เกิดขึ้นจากฟีเจอร์ ไม่ว่าจะเป็นความเสียหายโดยตรง ทางอ้อม ความเสียหายสืบเนื่อง เชิงลงโทษ หรือความเสียหายต่อทรัพย์สิน ความเป็นส่วนตัว หรือชื่อเสียง

7.8 ฟีเจอร์และแพลตฟอร์มเป็นการให้บริการตามสภาพที่เป็นอยู่และขึ้นอยู่กับความพร้อมใช้งานของบริการของ Shopee โดย Shopee ไม่รับรองประสิทธิภาพ การทำงาน ความเสถียรของแพลตฟอร์ม ซอฟต์แวร์ ฮาร์ดแวร์ หรือโครงข่ายโทรคมนาคมที่ผู้ขายใช้ในการเปิดใช้งานฟีเจอร์
